Terms of Service

These Terms of Service govern access to and use of Axiora's website, dashboard, API, MCP server, SDKs, documentation, data, translations, bulk exports, and related services (the "Service").
The Service is offered for business, professional, institutional, developer, and research use. By creating an account, using the Service, or executing an order form, you accept these Terms on behalf of yourself or the entity you represent. "Axiora", "we", and "us" mean Axiora. "Customer", "you", and "your" mean the person or entity using the Service.
If you use the Service on behalf of an entity, you represent that you have authority to bind that entity. If you do not have that authority, or if you do not agree to these Terms, you must not use the Service.
01Account and access
You are responsible for all activity under your account, API keys, credentials, and authorized users. You must keep credentials confidential, use reasonable security controls, and promptly notify us of any suspected compromise or unauthorized use.
You must provide accurate account and billing information and keep it current. We may refuse, suspend, or terminate accounts that use false information, disposable email addresses, shared credentials, or other signals of abuse.
02License grant
Subject to these Terms, the Documentation, your plan limits, and any applicable order form, Axiora grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right during the subscription period to access and use the Service and Axiora Data solely for your internal business, professional, investment research, developer, or academic research purposes.
Access is limited to you and your authorized users. No rights are granted except as expressly stated in these Terms or an order form. Axiora may enforce usage limits, rate limits, authentication requirements, and technical controls at any time.
03Axiora Data
Axiora Data means data, content, translations, normalized fields, classifications, signals, scores, analytics, metadata, schemas, API responses, bulk exports, files, documentation, or other output made available through the Service, excluding your Customer Content and excluding rights in Source Materials.
Raw Axiora Data means Axiora Data in the form supplied by the Service, including API responses, bulk exports, translated filing text, tables, rows, records, schemas, and any dataset or extract substantially equivalent to them.
Source Materials means public regulatory filings, issuer materials, exchange or regulator materials, EDINET, TDNet, and other third-party source materials from which Axiora Data may be derived.
04Derived output
You may create and use derived materials such as models, analyses, charts, dashboards, memoranda, research notes, reports, alerts, and summaries, provided they do not allow a third party to extract, reconstruct, query, or redistribute a substantial portion of Raw Axiora Data.
Unless an order form states otherwise, you may include limited excerpts of Axiora Data and derived output in external presentations, memoranda, research notes, emails, and reports, provided the materials are not machine-readable bulk data, do not substitute for the Service, and include attribution to Axiora and, where applicable, the relevant Source Materials.
05Redistribution
Redistribution is prohibited unless expressly authorized in an order form or other written agreement accepted by Axiora. A paid, institutional, enterprise, professional, or developer plan does not by itself grant redistribution rights unless the applicable plan terms or order form expressly say so.
Without express redistribution rights, you must not provide, sell, resell, license, sublicense, publish, transmit, distribute, transfer, lend, disclose, make available, or otherwise permit any third party to access Raw Axiora Data or any substantially equivalent dataset, extract, feed, index, API response, bulk file, translated filing corpus, or machine-readable substitute.
Client-facing products, customer portals, data rooms, dashboards, applications, agents, MCP servers, APIs, feeds, downloadable datasets, or other services that expose Axiora Data to third parties require express redistribution rights, even if access is free to the end user.
06Prohibited use
- Do not use the Service or Axiora Data to build, train, fine-tune, validate, benchmark, operate, or improve a competing product, substitute dataset, database, data feed, index, API, MCP server, retrieval system, model, agent, or analytics service without Axiora's prior written consent.
- Do not use Axiora Data to create, calculate, maintain, publish, settle, trade, market, or distribute an index, benchmark, rating, signal feed, investment product, financial instrument, portfolio product, or other commercial data product without Axiora's prior written consent.
- Do not scrape, crawl, bulk harvest, cache beyond plan limits, share credentials, rotate accounts, bypass rate limits, circumvent access controls, or avoid technical, contractual, or commercial restrictions.
- Do not remove proprietary notices, obscure source attribution, misstate provenance, or represent Axiora Data as created, verified, endorsed, or approved by any regulator, exchange, issuer, or third-party source unless independently true.
- Do not use the Service for unlawful purposes, market manipulation, misleading disclosure, unauthorized investment advice, or any activity that would cause Axiora to violate applicable law, third-party terms, or regulatory obligations.
07Ownership
As between the parties, Axiora and its licensors retain all right, title, and interest in and to the Service and Axiora Data, including all software, APIs, documentation, schemas, normalized datasets, filing translations, classifications, signals, scores, derived metrics, analytics, selection, coordination, arrangement, and compilations.
Source Materials remain subject to the rights and terms of their original sources. Axiora does not claim ownership of EDINET, TDNet, issuer, regulator, exchange, or other third-party Source Materials. You are responsible for complying with laws and third-party rights that apply to your use of Source Materials and Axiora Data.
If your use or redistribution requires consent, attribution, reporting, or payment to a third-party source, data provider, exchange, regulator, issuer, or other rights holder, you are responsible for obtaining that consent and paying those fees unless an order form expressly states otherwise.
You retain ownership of information and materials you submit to the Service. You grant Axiora the rights needed to host, process, transmit, display, secure, and support that content for purposes of providing the Service.
08Fees and plans
Fees, plan limits, renewal terms, support commitments, and any redistribution rights are as stated in the applicable checkout page, plan terms, invoice, or order form. Fees are exclusive of taxes unless stated otherwise. Except where required by law or expressly stated in an order form, fees are non-refundable.
If you exceed applicable limits, fail to pay undisputed fees, or use the Service outside your plan scope, Axiora may throttle, suspend, downgrade, or terminate access.
09Privacy and data protection
Our Privacy Policy explains how we collect and use personal data for account administration, billing, security, support, and operation of the Service.
If Customer Personal Data is processed by Axiora on your behalf and applicable law requires processor terms, the Axiora Data Processing Agreement applies. You must not submit special-category data, payment card numbers, bank account numbers, government identifiers, health data, children's data, or similar sensitive data unless an order form expressly permits it.
10No regulated advice
The Service and Axiora Data are provided for informational and research purposes only. Axiora does not provide investment, legal, accounting, tax, trading, proxy, voting, tender, or other regulated advice. Axiora Data is not a recommendation to buy, sell, hold, vote, tender, trade, or take or refrain from taking any action with respect to any issuer, security, instrument, transaction, or strategy.
You are solely responsible for your decisions, disclosures, trading, investment processes, compliance obligations, regulated activities, and any review, validation, or professional advice required before using Axiora Data in public, client-facing, regulated, investment, or decision-making contexts.
11Disclaimers
To the maximum extent permitted by law, the Service and Axiora Data are provided "as is" and "as available". Axiora disclaims all warranties and conditions, express, implied, statutory, or otherwise, including warranties of accuracy, completeness, timeliness, non-infringement, merchantability, and fitness for a particular purpose.
Axiora does not warrant that the Service will be uninterrupted, error-free, secure, or that all data will be complete, current, or suitable for your intended use. You are responsible for validating important outputs against the underlying Source Materials.
12Suspension and termination
Axiora may suspend, limit, or terminate access immediately, in whole or in part, if Axiora reasonably believes that you or any user has breached these Terms, exceeded plan limits, compromised credentials, threatened the Service, violated third-party rights, created legal or regulatory risk, failed to pay undisputed fees, or engaged in use that could materially harm Axiora, the Service, a source provider, another customer, or any third party.
Where commercially reasonable and legally permitted, Axiora will provide notice and an opportunity to cure. Upon termination, your right to use the Service and Axiora Data ends, except that you may retain derived materials lawfully created before termination if they comply with these Terms and do not contain Raw Axiora Data that you are not otherwise entitled to retain.
13Liability
To the maximum extent permitted by law, Axiora will not be liable for lost profits, lost revenue, lost savings, lost business, trading losses, investment losses, loss of goodwill, data loss, business interruption, or indirect, incidental, special, consequential, exemplary, or punitive damages.
To the maximum extent permitted by law, Axiora's total cumulative liability arising out of or relating to the Service or these Terms will not exceed the amounts paid by you to Axiora for the Service in the twelve months before the event giving rise to liability, or USD 100 if you used only a free plan.
Nothing in these Terms limits liability to the extent it cannot be limited under applicable law.
14Indemnity
You will defend, indemnify, and hold harmless Axiora from and against claims, damages, liabilities, penalties, costs, and expenses, including reasonable legal fees, arising from your Customer Content, misuse of the Service, breach of these Terms, unauthorized redistribution, violation of law, violation of third-party rights, or use of Axiora Data in customer-facing, regulated, investment, or commercial products outside the rights granted to you.
15Changes
Axiora may update these Terms from time to time. Material changes will be posted on the Service or notified by email where appropriate. Changes do not reduce rights already granted under a signed order form during its then-current term unless required by law or agreed by the parties.
16Governing law and contact
Unless an order form states otherwise, these Terms are governed by the laws of Japan, without regard to conflict-of-law rules. The Tokyo District Court has exclusive jurisdiction over disputes arising out of or relating to these Terms, except where mandatory law requires otherwise.
